Terms of Service
Effective date: [not yet set] · Privacy Policy
These terms are an agreement between [LEGAL ENTITY NAME] (“we”, “us”) and the business that signs up for [PRODUCT NAME] (“you”, the “customer”). By creating an account or using the service you accept them, and you confirm you have authority to accept them for that business.
1. The service
[PRODUCT NAME] is online software for bookkeeping and Canadian payroll, for accounting and bookkeeping practices and for businesses that keep their own books and run their own payroll. We may improve, change or retire features; if we remove something important to you that you've paid for, we'll give you reasonable notice. Features marked as beta or powered by AI may be less reliable than the rest of the service.
2. Accounts and your team
- Keep sign-in details confidential. You are responsible for everything done under your team's logins.
- Your admins decide who gets access and at what level, including portal logins you give to clients, employees or others. Remove access promptly when someone leaves.
- Tell us right away if you suspect unauthorized access.
3. You remain responsible for payroll, tax and filings
The service is a tool. It does not replace your own judgment or the advice of a qualified professional, and we are not your payroll provider, tax advisor or agent. In particular:
- You are responsible for the accuracy of everything you enter, for reviewing calculations, pay stubs, slips, reports and payment files before relying on them, and for paying employees, remitting source deductions and sales tax, and filing returns and slips correctly and on time.
- We work to keep calculations in line with the published formulas and rates of the Canada Revenue Agency and Revenu Québec, but tax rules change and the software can contain errors. Check the results.
- We don't hold or move your money. Payments happen through the bank files, Telpay transfers or Stripe payments you choose to make, under those providers' terms.
- Nothing in the service or from our support team is legal, tax or accounting advice.
If you find an error in a calculation, tell us. We will work to correct the software promptly. Penalties, interest and other costs from late or incorrect payments or filings are your responsibility, subject to section 11.
4. Your data
- You own the data you put into the service (“customer data”). You let us host, process and transmit it only to provide and support the service, as described in our Privacy Policy.
- You confirm you have the right to give us customer data, including any notices to or consents that the law requires from your employees and, if you serve clients, from your clients and their employees.
- You can export your data at any time while your account is open.
- After your account closes we delete customer data within 90 days, unless the law requires us to keep it. Export what you need, including records you must keep for six years, before you close.
5. Fees and payment
- Plans and prices are shown on the Billing page. The Starter plan is free; paid plans are billed monthly in advance.
- The payroll add-on has a monthly fee plus a fee for each pay run processed, billed after the month in which the runs are processed.
- Payments are handled by Stripe. Prices exclude applicable taxes such as GST/HST, which are added.
- If a payment fails, you'll have a grace period to update your payment method, after which the account moves to the free plan. Your data is kept.
- We will give at least 30 days' notice of a price increase.
- Fees already paid are not refundable, except where the law requires otherwise.
6. Acceptable use
You won't, and won't let anyone else:
- use the service for anything unlawful, or to process information you have no right to use;
- try to get into accounts or data that aren't yours, or test or break its security without our written permission;
- overload, disrupt or reverse-engineer the service, or scrape it by automated means;
- resell or provide the service to others except as part of your own accounting or payroll services to your clients.
7. Third-party services
Some features rely on other providers (for example Stripe, Telpay, your bank, or the Canada Revenue Agency). Your use of them is governed by their terms, and we are not responsible for their services.
8. Availability and support
We aim to keep the service available and to announce planned maintenance, but we don't guarantee it will be uninterrupted or error-free. Support is available through Contact support in the app.
9. Ending the agreement
- You can cancel a paid plan at any time from Billing; it stays active until the end of the paid period. Cancelling the payroll add-on takes effect immediately.
- We may suspend or close an account for non-payment, a serious or repeated breach of these terms, or to protect the service or others. Where reasonable we will warn you first and give you a chance to fix the problem and export your data.
- Sections 3, 4, 10, 11, 12 and 14 continue after the agreement ends.
10. Disclaimer
Except as expressly stated in these terms, and to the extent the law allows, the service is provided “as is” and we make no warranties or conditions, express or implied, including of merchantability, fitness for a particular purpose or non-infringement.
11. Limitation of liability
To the extent the law allows:
- Neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if warned they were possible.
- Our total liability for all claims relating to the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
12. Indemnity
You will defend and compensate us for claims by third parties, including your employees, your clients and their employees, arising from customer data you provided without the right to do so, or from your breach of these terms.
13. Changes to these terms
We may update these terms. We will post the new version here and give at least 30 days' notice by email or in the service before a material change takes effect. If you don't agree, you may cancel before then.
14. General
- These terms are governed by the laws of [PROVINCE] and the federal laws of Canada that apply there, and the courts of [PROVINCE] have jurisdiction.
- These terms and the Privacy Policy are the whole agreement between us about the service. If any part is unenforceable, the rest still applies.
- You may not transfer this agreement without our consent; we may transfer it to a successor to our business.
- Neither of us is responsible for delays caused by events beyond our reasonable control.
- Notices to us: [LEGAL ENTITY NAME], [MAILING ADDRESS], [CONTACT EMAIL]. Notices to you go to your account admins' email addresses.
